French term or phrase: Contrat de Montage et d’Apport
A big company is having a smaller management company handle the restructuring and resale of a building for them. They are signing a "Contrat de Montage et d’Apport" with this company as the framework for these operations. What would we call this?

(Financial) Structure and Contribution Agreement
Explanation:

I initially read the term including the word "financier", since it collocates so often with "montage" and "apport".

There are three entries for "montage financier" in personal glossaries. I prefer the more neutral and formal "structure" here.
It will cover most situations, and will certainly serve as a tentative translation while you read through the agreement and learn more about the context. Structure basically means what the two parties put in to the deal (contributions), what they get out, when, etc.

You are possibly dealing with a joint venture structure. "Apport" is usually contribution (ref. company formation).

The smaller company could of course be a subsidiary of the larger one, other types of partnership are possible of course.

In fact you could probably boil it down to

Collaboration Agreement

Partnership Agreement

Joint Venture Agreement

Ref. the link above: the explanations are a bit simplistic, but I take back the "law-for-dummies" comment.

Investment vs. Development Scheme and Pooling Agreement

Explanation:
This is what it sounds like from the asker's description, though it is still unclear whether the Apport is 'brought in' by the Client or the Agent.

'restructuring' looks like a 'development scheme' to me, rather than a financial. re-arrangement

BTW, 'vesting' is often a neat fit for apport, especially when it comes to employee shares or an inheritance, though contribution and transfer may be the first port of call 'in a storm'.

Example sentence(s):
  • They enter into a Joint Development Agreement wherein landowner pool his land and builder bear the cost of construction to complete the project.
  • development scheme means the method of securing land required for a development plan by means of *land acquisition or land pooling* or any other means, and the details of implementation of the plan in the secured land.
