Ⅳ. ＜用語＞ ウォーターフォール（Waterfall）
プライベート・エクイティ投資は10年超の長期に渡る運用であり、流動性も低い。そのため、GPに資金を委託しているLPにとっては、運用資金を早い段階でGPから回収することは運用戦略上の大切なポイントである。一方、GPにとっても、案件を成功させた投資担当者に報酬を還元し、チームのモチベーションを維持しながらファンドを運用していくために、早い段階で成功報酬を確保する必要がある。
このように、利害が相反するLP:GP間において、投資先から回収した資金をどのような順番で分配していくかを詳細に規定したものを上流から下流に流れる滝になぞらえてウォーターフォール（Waterfall）と呼ぶ。
