PREMESSO CHE:
1) la Committente svolge attraverso società collegate/ joint venture/ partner, attività di ricerca, sviluppo, progettazione, realizzazione e gestione di impianti per la produzione di energia da fonti rinnovabili, in particolare è attiva nel settore del fotovoltaico;
2) la Committente, nell’ambito della propria attività di sviluppo, progettazione e realizzazione di impianti fotovoltaici situati anche nella Regione X, ha interesse ad instaurare un contratto di appalto con un soggetto in grado di fornire tutta una serie di attività/servizi propedeutici al funzionamento di impianti fotovoltaici per una potenza complessiva pari a circa X MW, (di seguito “Impianti”), collocati in X lotti di terreno (di seguito “i Siti/o”), il tutto come meglio identificato nell’Allegato 1.
3) X ha dichiarato di essere in grado di fornire tale contributo ai sensi dei termini e delle condizioni indicate nel presente contratto e di avere tutte le capacità tecniche ed economiche necessarie per eseguire tali attività, di utilizzare maestranze di adeguate capacità tecniche, di osservare tutte le leggi, regolamenti e disposizioni vigenti in materia tecnica, assicurativa e prevenzione infortuni.
4) la Committente è, quindi, addivenuta nella determinazione di eseguire le attività meglio specificate successivamente, dandole in appalto alla X S.p.A. che ha dichiarato di accettare;
Tutto ciò premesso si conviene e si stipula quanto appresso.
ART. 1 – PREMESSE ED ALLEGATI
Le premesse e gli allegati formano parte integrante e sostanziale del presente contratto.
ART. 2 – OGGETTO DEL CONTRATTO
2.1 La Committente affida all’Appaltatore, che accetta di eseguire le seguenti opere/attività sui singoli Siti/ Impianti fotovoltaici:
a) Individuazione, delimitazione e segnalamento dei confini esatti del terreno ove è ubicato l’impianto con l’ausilio di strumento gps e relativo studio catastale, anche con l’apposizione di apposita segnaletica relativa ai punti perimetrali del terreno e con l’aggiunta dell’affissione di apposito cartello di individuazione cantiere, contenente la scheda anagrafica del singolo impianto.
b) Esecuzione di tutte le attività necessarie ai fini dell’ottenimento della STMD (Soluzione Tecnica Minima di Dettaglio definitiva per la connessione alla rete elettrica di un impianto); in particolare per ogni singolo impianto l’appaltatore si occuperà di:
- Ricerca, selezione, individuazione del tragitto per la realizzazione della connessione alla rete elettrica;
- Analisi degli strumenti urbanistici vigenti e dei vincoli esistenti;
- Ausilio nell’acquisizione dell’uso del suolo e del diritto allo sfruttamento dei terreni pubblici;
- Redazione del progetto di costruzione della connessione alla rete elettrica conforme a quanto definito in sede di accettazione della STMG;
- Presentazione delle istanze necessarie per lo sviluppo del Procedimento Autorizzativi per la connessione;
- Supervisione e controllo dell’evoluzione del Procedimento Autorizzativi per la connessione;
- Redazione dello studio di VIA se dovuto;
- Ottenimento VIA se dovuto;
- Ottenimento di tutti i permessi e tutte le autorizzazioni propedeutiche e necessarie per l’ottenimento della STMD per la realizzazione della connessione alla rete elettrica;
c) Esecuzione dei lavori di realizzazione, secondo le specifiche X, del cavidotto interrato per l’allaccio dell’impianto alla rete elettrica nazionale, al punto di allaccio indicato da X nella STMG/STMD rilasciata alla Committente, come da progetto autorizzato (di seguito “cavidotto”) ovvero esecuzione dei lavori di realizzazione, secondo le specifiche X, della eventuale cabina di consegna per l’allaccio dell’impianto, come da progetto autorizzato, escluse le attività di allaccio del cavidotto e relativo collaudo, sia lato X e sia lato parco foto-voltaico di cui al punto seguente c) bis;

referred to below as the Owner,

X. with registered offices in X, X, Tax Code and VAT number n.X, represented by the Chairman of the Board of directors and legal representative, Mr. X, born in X, on X, and resident in X),
referred to below as the Contractor or X.
WHEREAS:
1) The Owner carries out research, development, planning, building and management of power plants from renewable sources via associated companies/joint ventures/partners, particularly in the photovoltaic sector;
2) Regarding its development, planning and building activities of photovoltaic plants also located in the X, the Owner is interested in establishing a subcontracting agreement with an entity that is able to provide a range of activities/services that support photovoltaic plant function for an overall power capacity of about X MW, (the “Plants”), located in X lots of land (the “Site/s”), as better specified in Schedule 1.
3) X has declared that it is able to provide such services pursuant to the terms and conditions in this contract and that it has all the technical and economic abilities that are necessary to carry out such activities, to use the correct technical capacities, to observe all the laws, regulations and provisions in force regarding technical, insurance and injury prevention issues.
4) The Owner, therefore, has come to the conclusion that it shall carry out the activities described below, but subcontracting them to X, which has declared its acceptance thereof;
In light of the above, the parties agree and stipulate the following.
ART. 1 – PREMISES AND SCHEDULES
The premises and schedules are an integrating and substantial part of this contract.
ART. 2 – SUBJECT OF THE CONTRACT
2.1 The Owner assigns the following activities/operations on the single Sites/ photovoltaic Plants to the Contractor, who accepts:
a) The selection, definition and signalling of the exact boundaries of the land where the plant is located using gps instruments and relevant cadastral report, including the application of regular signposting regarding the points of the perimeter of the land and with the additional application of building site signs, containing the certification of the registry office of each plant.
b) Execution of all the activities that are necessary to obtain the STMD (the final Soluzione Tecnica Minima di Dettaglio – Detailed Minimum Technical Solution – to connect a plant to the grid);
In particular, for every single plant, the contractor shall be responsible for:
- Research, selection, and choice of the route to make the connection to the grid;
- Analysis of urban planning instruments in force and existing obligations;
- Assistance in the acquisition of right to use the soil and the right to exploit public land;
- Preparation of the construction of the connection to the grid in compliance with the terms defined in the acceptance of the STMG;
- Presentation of the instances that are necessary to develop the Authorisation Procedure (Procedimento Autorizzativo) for the connection;
- Supervision and control of the evolution of the Authorisation Procedure for the connection;
- Preparation of the VIA report if due;
- Obtaining the VIA if due;
- Obtaining all the permits and authorisations that are needed and that support the obtainment of the STMD for the realisation of the connection to the grid;
c) Execution of the works, according to the X specifications, the earthed cable duct for the connection of the plant to the national grid, to the connection point indicated by X in the STMG/STMD released to the Owner, pursuant to the authorised project ( the “cable duct”) or the execution of the works to build the connection cabin (if any) to connect the plant, as established in the authorised project, excluding the activities in the connection of the cable duct and relevant testing procedures, both on the part of X and on the part of the photovoltaic group referred to under point c) bis below;

Born in the UK, brought up in Egypt and Morocco, where I became fluent in English, Italian and French ), I completed my middle-high school education in Rome, Italy, where I obtained the maturita' exam in a scientific high school.
I obtained a degree in Psychology from Exeter University (UK), during which I kept up with my French my completing a year as an Erasmus student in Grenoble. During this period of time I obtained professional experience during summer jobs in the field of Human Resources (Arthur Andersen), and financial markets (Reuters).
When I returned to Italy, my gift for these languages made me a candidate for a wide variety of roles in various companies, in which I handled the widest variety of translations for many of my colleagues and superiors (all illustrated in my CV), including legal, financial, and marketing documents (management consulting firms, law firms) , as well as reports for European Project Management purposes (University of Rome - La Sapienza).
Hence the decision to go freelance! Since, I have widened my specialty areas to IT, Telecommunications, Cinema, and am extremely proud to have completed my first literary project, to be published soon in the US (See article on original publication ProZ).
